AUSTRIAN POST EXPANDS ITS NETWORK IN POLAND AND BULGARIA:
PURCHASE OF “KOLPORTAZ RZETELNY” IN POLAND, ACQUISITION OF A STAKE IN “M&BM EXPRESS“ IN BULGARIA
Austrian Post is continuing to focus on expansion in the CEE region. Now two further strategic expansion steps were taken to lay the groundwork for the future. In Poland, an agreement was signed with the Integer.pl Group on the purchase of Kolportaż Rzetelny. In Bulgaria Austrian Post acquired a stake of 26% in M&BM Express. Both companies are strong local postal service providers and will enable Austrian Post to enter these markets.
“The acquisition of these two companies represents the consistent further development of Austrian Post’s growth strategy in Central and Eastern Europe“, says Walter Hitziger, Member of the Management Board of Austrian Post. “The delivery of addressed and unaddressed direct mail items by our subsidiaries is one of our core business areas, and also provides a basis for expanding our involvement in these countries in connection with the liberalisation of their postal markets”, he adds.
INTEGER.PL SIGNED CONTRACT WITH AUSTRIAN POST
Integer.pl Group – the leading Polish postal group providing postal and courier innovative solutions and e-commerce services – signed an agreement of selling the company Kolportaż Rzetelny to Austrian Post. The transaction was already approved by the UOKiK (Office of Competition and Consumer Protection). Kolportaz Rzetelny is polish market leader in non-addressed mailing, with a market share of 36 percent. Last year's revenue amounted to 11.3 Mio. EUR.
This is the first step of the development of Austrian Post in the Polish market by entering into the non-address distribution segment, in which the company is a major player in the countries of Central and Eastern Europe. "We are proud that through us such strong players as Austrian Post, are entering the Polish market. I have no doubts that this is only the beginning of European interest in our postal sector" – said Rafal Brzoska, CEO of the Integer.pl Group.“
Integer.pl Group consists of 10 innovative, fast-growing companies, operating on postal, courier and distribution market, in an e-commerce and financial sector. Integer.pl recorded, cumulatively in the four quarters of 2011, 5.7 Mio. EUR of consolidated net profit, an increase of 41% compared to 2010. The Group's revenues amounted to Mio. 61.1 EUR cumulatively and are higher than in the same period last year by 24%. Net profitability after four quarters of 2011 stood at 9.26%. At the same time Integer.pl company was ranked on the ninth heading in the statement of companies listed on Warsaw Stock Exchange with the highest rates of return in 2011

Kolportaz Rzetelny is a market leader in non-addressed mailing in Poland. In 2011, the company had delivered about 1.23 billion of non-addressed mailing against about 1.16 billion in 2010, which gives a 36% of share in this market.
Many years of operation of the Integer.pl Group in the distribution market of non-addressed mailing, well established business position and well developed technological and logistic facilities provides very good financial results. ACQUISITION OF A STAKE IN “M&BM EXPRESS“
Austrian Post announces the closing of its acquisition of a 26% shareholding in the Bulgarian company M&BM Express effective May 2nd, 2012. Furthermore, a call option agreement was concluded for an additional 25% stake in 2013 and another one in the year 2014 with the possibility to increase the shareholding up to 76%.
M&BM Express was founded in 2005, and is the number one alternative letter mail service provider on the Bulgarian market, which has been fully liberalised since 2011. Moreover, M&BM Express is the market leader in the field of hybrid mail (i.e. mail items are electronically sent to four printing centres, printed, enveloped and delivered).
With about 2,500 personnel, it delivered approximately 75m mail items in 2011, of which 65m were hybrid mails.
